Definitions and scope of application

The general terms and conditions for the sale of products, hereinafter referred to as “the terms and conditions”, apply to all orders placed with Nk Watch owned by Kempinaire Nathan, domiciled at Rue de Willine 88, 4257 Berloz, hereinafter referred to as “the seller”.

 

These general terms and conditions form the contract between the seller and the customer. The seller and the customer are hereinafter jointly referred to as “the parties”.

 

The “customer” is any natural or legal person who orders products from the seller.

 

The “consumer” is the customer, a natural person, who acts for purposes which do not fall within the scope of his commercial, industrial, artisanal or liberal activity.

 

Only the present general terms and conditions apply. In any event, they exclude the customer's general or special conditions which the seller has not expressly accepted in writing.

 

The general terms and conditions are freely accessible at all times on the seller's website: “nk-clothes.com”, so that by placing an order with him, the customer declares that he has read these general terms and conditions and confirms his acceptance of the rights and obligations attached to them.

 

The seller reserves the right to modify these terms and conditions at any time and without prior notice, subject to displaying such modifications on its website. These modifications will apply to all orders for product(s) placed after the date on which the order was placed.

Offre et commande

To place an order, the customer chooses the product(s) he wishes to order by browsing the seller's website, provides the requested contact details, checks the accuracy of the order, and then makes payment for his order.

 

After receiving confirmation of payment for the order from the banking institution, the seller sends the customer a summary of their order, including in particular the order number, the products ordered and their price, these general conditions or a link to them, as well as an indication of the probable execution time of the order.

 

The seller reserves the right to suspend, cancel or refuse a customer's order, particularly in the event that the data provided by the customer is clearly incorrect or incomplete or when there is a dispute relating to the payment of a previous order.

 

In the event of cancellation of the order by the customer after its acceptance by the seller, for any reason whatsoever, except in cases of force majeure, a sum equivalent to 30% of the price of the order will be acquired by the seller and invoiced to the customer, as damages.

Price

The price of the products is indicated in euros, all taxes included.

 

Any increase in VAT (Value Added Tax) or any new tax that may be imposed between the time of the order and the time of delivery will automatically be charged to the customer.

 

Any delivery costs are not included in the price shown, but are calculated separately during the ordering process, depending on the method and place of delivery as well as the number of products ordered.

Deadline

Unless otherwise expressly agreed in writing by the seller, the delivery times mentioned in the special conditions are not binding deadlines. The seller may only be held liable if the delay is significant and if it is attributable to the seller due to gross negligence.

 

The customer may not invoke delivery times to request termination of the contract, claim damages or assert any other claim, unless otherwise stipulated in writing and expressly accepted by the seller.

 

In the event of a delay exceeding thirty working days, the customer must send a formal notice by registered letter to the seller, who will then be entitled to 50% of the prescribed time to deliver the product(s) ordered.

Retention of title

The seller remains the owner of the products ordered until they have been paid for in full.

 

Ownership of the products is transferred to the customer only after collection or delivery of the items and after full payment of the order. By way of derogation from Article 1583 of the Civil Code, items sold, delivered, or installed remain the exclusive property of the seller until full payment of the invoice. Until payment of the sale price has been made, the customer is prohibited from pledging the items, offering them, or using them as collateral in any way whatsoever.

 

The customer is expressly prohibited from making any changes to these items, from converting them into real estate by incorporation or destination, from selling them or from disposing of them in any way whatsoever. As long as the seller has the property rights to the delivered goods, in accordance with the provisions of this article, the customer will remain responsible for maintaining these products in good condition. During this period, only the customer can be held liable for any loss or damage to the products. If necessary, the customer undertakes to insure the products against all risks. The customer also undertakes to store the products in such a way that they cannot be confused with other products and that they can at all times be recognized as the seller's property.

Right of withdrawal

Conformément à l’article VI.47 du Code de Droit Economique, le consommateur qui commande à distance des produits auprès du vendeur dispose d’un délai de 14 jours calendriers à dater, pour les produits, du jour de la livraison des produits ou de la notification de leur disponibilité au point de retrait prévu, pour notifier au vendeur qu’il renonce à l’achat, sans pénalités et sans indication de motifs.

 

Lorsque ce délai expire un samedi, un dimanche ou un jour férié, il est prorogé au premier jour ouvrable suivant.

 

Le consommateur peut notifier sa volonté de renoncer à l’achat, au moyen du formulaire de rétractation mis en ligne sur le site web du vendeur, au moyen du formulaire transmis avec le bon de commande ou disponible sur le site du S.P.F. Economie, P.M.E., Classes moyennes et Energie : economie.fgov.be, ou encore par une déclaration dénuée de toute ambiguité exposant sa décision de se rétracter du contrat.

 

Le consommateur devra réexpédier le(s) produit(s) à l'achat duquel (desquels) il a renoncé en parfait état dans son/leur emballage d’origine.

 

Seuls les frais directs de renvoi seront à la charge exclusive du consommateur. Le vendeur restituera le montant payé dès que possible et au plus tard dans un délai de 14 jours à compter de la réexpédition des produits.

 

Le consommateur qui ouvre ou utilise un produit avant l’expiration du délai de rétractation est réputé avoir renoncé à exercer son droit de rétractation relatif à ce produit.

 

De même, le consommateur ne pourra pas exercer le droit de rétractation s’il se trouve dans le cas d’une des autres exceptions visées à l’article 53 du livre VI du Code de droit économique, notamment dans le cas de la fourniture de biens confectionnés selon les spécifications du consommateur ou nettement personnalisés.

Termination of the order

The customer who does not meet the conditions to benefit from the right of withdrawal described in the previous article of these conditions and who wishes to cancel his order informs the seller who will indicate the steps to follow.

 

Any deposit paid by the customer to the seller will not be refunded. If no deposit has been paid, the seller may claim a cancellation fee from the customer equal to 30% of the price of the products whose order was cancelled by the customer.

Delivery of the order

The delivery times indicated by the seller are provided for informational purposes only and are not binding on the seller. A delay in the delivery of the order may therefore under no circumstances give rise to any compensation, termination of the contract, suspension of the customer's obligations, or the payment of damages.

 

The order is only delivered to the customer after full payment. The transfer of ownership and risk occurs when the order is fully paid. The customer is therefore advised that he or she alone bears the risk associated with delivery.

Availability

The products offered for sale by the seller are subject to availability.

 

In the event of unavailability of one or more products after payment of the order, the seller undertakes to inform the customer as soon as possible and to give them the choice between a refund, a modification of their order or a delivery postponed until the end of the stock shortage of the product(s) concerned.

Receipt of order and complaint

The customer is required to check the apparent good condition and conformity of the products delivered to him or collected at the designated collection point with the products he ordered.

 

Any complaints must be made in writing within 3 days of delivery of the order or notification of its availability at the designated collection point. Otherwise, they cannot be taken into account and the customer will be deemed to have definitively received the order.

 

If a complaint is found to be justified, the seller/service provider will have the choice between replacing or reimbursing the price of the products concerned.

Propriété intellectuelle

The information, logos, designs, brands, models, slogans, graphic charters, etc., accessible through the seller's website or catalog are protected by intellectual property law.

 

Unless expressly agreed otherwise in advance, the customer is not authorized to modify, reproduce, rent, borrow, sell, distribute or create derivative works based in whole or in part on the elements present on the seller's website or catalog.

 

Unless expressly waived, the agreed price therefore does not include any transfer of intellectual and/or industrial property rights for any reason whatsoever.

Warranty

◦ Legal guarantee for all customers

In accordance with Articles 1641 to 1643 of the Civil Code, the seller is required to guarantee the products against hidden defects which render the products unfit for the use for which they are intended, or which reduce this use so much that the customer would not have acquired them or would have paid a lower price for them if he had known about them.

 

In the event of a hidden defect being discovered, the customer must act promptly, in accordance with Article 1648 of the Civil Code, and will have the choice between returning the product affected by a hidden defect in exchange for a full refund, or keeping it in exchange for a partial refund.

 

The seller is not required to guarantee the products against apparent defects, which the customer could or should have noticed at the time of purchase. Similarly, the seller is only required to guarantee the products against hidden defects of which he was aware at the time of sale, and of which he failed to warn the customer.

 

Only the invoice, receipt or purchase order are valid as warranty certificates for the customer vis-à-vis the seller. These documents must be kept by the customer and presented in their original version.

◦ Additional legal guarantee for customers with consumer status

Conformément à l’article 1649quater du Code civil, le client qui a la qualité de consommateur dispose en outre d’une garantie légale de deux ans pour tous les défauts de conformité qui existaient lors de la délivrance du produit et qui sont apparus dans un délai de deux ans à compter de celle-ci.

 

Cette garantie comprend la réparation ou le remplacement du produit défectueux, sans frais pour le consommateur.

 

Si toutefois cette réparation ou remplacement s’avère impossible, disproportionné pour le vendeur ou causerait un sérieux désagrément au consommateur, une réduction appropriée ou un remboursement pourront être proposés au consommateur. Le vendeur et le client pourront convenir d'un remboursement uniquement moyennant la remise des produits défectueux par celui-ci.

 

Dans le cas où des pièces de rechange ou des accessoires spécifiques nécessaires à la réparation du produit ne seraient plus disponibles chez le fabricant, le vendeur ne pourra être tenu responsable de la perte des possibilités d'utilisation du produit.

 

Le consommateur est tenu d’informer le vendeur de l’existence du défaut de conformité, par écrit, dans un délai de maximum deux mois à compter du jour où il a constaté le défaut, sous peine de déchéance de son droit à réclamation.

 

Seuls la facture, le ticket de caisse ou le bon d'achat valent comme certificats de garantie pour le consommateur vis-à-vis du vendeur. Ces documents doivent être conservés par le consommateur et présentés dans leur version originale. Le délai de garantie démarre à la date mentionnée sur ces documents.

 

Cette garantie ne s'applique pas dans le cas où la défaillance découle d'une utilisation erronée, de causes externes, d’un mauvais entretien, de phénomènes d'usure normaux ou de toute utilisation qui n’est pas conforme aux instructions du fabricant ou du vendeur. En cas de dommage, de vol ou de perte d’un produit remis pour réparation, la responsabilité du vendeur sera en tout état de cause limitée au prix de vente du produit. Le vendeur ne pourra en aucun cas être tenu responsable de la perte ou de la reproduction de données stockées dans ou par des appareils électroniques remis pour réparation.

Responsibility

General information . The customer acknowledges and accepts that all obligations owed by the seller are exclusively means-based and that he is only liable for his fraud and gross negligence.

 

In the event that the customer demonstrates the existence of gross negligence or willful misconduct on the part of the seller, the damage for which the customer may claim compensation includes only the material damage resulting directly from the fault attributed to the seller to the exclusion of any other damage and may not, in any event, exceed 75% (excluding taxes) of the amount actually paid by the customer in execution of the order. The customer also acknowledges that the seller is not liable for any direct or indirect damages6 caused by the products delivered, such as loss of profit, increase in overheads, loss of customers, etc. The seller is also not liable in the event of communication of erroneous data by the customer, or in the event of an order placed in its name by a third party.

 

Finally, it is the customer's responsibility to inquire about any restrictions or customs duties imposed by their country on the products ordered. The seller cannot be held responsible if the customer has to face any restrictions or additional taxes to pay due to the policy adopted by their country in this area.

 

Materials . If the customer imposes on the seller a process or materials of a specific quality, origin or type, despite the seller's written and reasoned reservations, the latter is released from all liability for defects originating from the choice of said process or materials.

Internet and new technologies

Le client reconnaît les restrictions et les risques liés à l’utilisation d’internet ou de tout autre moyen par lequel le site web est actuellement ou sera à l’avenir mis à disposition. Le client reconnaît aussi les risques de stockage et de transmission d’informations par voie numérique ou électronique.

 

Le client accepte que le vendeur ne peut être tenu responsable pour tout dommage causé par l’utilisation du site web (ainsi que des éventuelles applications) du vendeur ou d’internet, suite aux risques précités.

 

Le client accepte en outre que les communications électroniques échangées et les backups réalisés par le vendeur puissent servir de preuve.

Miscellaneous provisions

Force majeure or fortuitous event. The seller cannot be held responsible, either contractually or extra-contractually, in the event of temporary or definitive non-performance of its obligations when such non-performance is the result of force majeure or fortuitous event.

 

In particular, the following events shall be considered as force majeure or fortuitous events: 1) the total or partial loss or destruction of the seller's computer system or database, where either of these events cannot reasonably be directly attributed to the seller, and where it is not shown that the seller failed to take reasonable steps to prevent either of these events, 2) earthquakes, 3) fires, 4) floods, 5) epidemics, 6) acts of war or terrorism, 7) strikes, whether declared or not, 8) lockouts, 9) blockades, 10) insurrections and riots, 11) a stoppage in the supply of energy (such as electricity), 12) a failure of the Internet network or data storage system, 13) a failure of the telecommunications network, 14) a loss of connectivity to the Internet network or telecommunications network on which the seller depends, 15) an act or decision of a third party where such decision affects the proper performance of this contract or 16) any other cause beyond the reasonable control of the seller.

 

Unforeseeability. If, due to circumstances beyond the control of the seller, the performance of its obligations cannot be continued or is simply made more onerous or difficult, the7 seller and the customer undertake to negotiate in good faith and in good faith an adaptation of the contractual conditions within a reasonable period of time with a view to restoring the balance. In the event of failure to reach agreement within a reasonable period, either party may invoke termination of the contractual relationship between them without compensation or indemnity of any kind whatsoever.

 

Termination of contract. In the event of the customer's insolvency or in the event of unpaid debts, even under previous contracts between the customer and the seller, the latter is entitled to suspend performance of its obligations until the customer has fully repaid any unpaid debts owed to the seller.


Illegality. The illegality or invalidity of any article, paragraph or provision (or part thereof) shall not affect in any way the legality of any other article, paragraph or provision of these terms and conditions, nor shall it affect the remainder of such article, paragraph or provision, unless a contrary intention is evident from the text.

 

Headings. The headings used in these terms and conditions are for convenience and reference only. They in no way affect the meaning or scope of the provisions they designate.

 

No Waiver. No failure, neglect or delay by any party to exercise any right or remedy under these terms and conditions shall be construed as a waiver of such right or remedy.

 

In the event of non-performance of its obligations by the customer, the seller may terminate the contract to the exclusive detriment of the customer without delay or compensation and, where applicable, may claim damages from the customer by any legal means.

Applicable law and competent jurisdictions

Les présentes conditions générales sont soumises au droit belge.

 

En cas de litige relatif à la validité, à l’interprétation, à l’exécution ou à la rupture des présentes conditions générales, les parties s’engagent à recourir à la médiation préalablement à tout autre mode de résolution des conflits.

 

Les parties désignent dès lors un médiateur agréé par la Commission Fédérale de Médiation (Bd Simon Bolivar, 30 (WTC III) à 1000 Bruxelles - https://www.cfm-fbc.be/fr) de commun accord ou chargent un tiers de cette désignation.

 

Une fois le médiateur désigné, les parties définissent entres-elles, avec l’aide du médiateur, les modalités d’organisation de la médiation et la durée du processus.

 

Chacune des parties peut mettre fin à la médiation à tout moment, sans que cela ne lui porte préjudice.

 

En cas d’échec de la médiation, seuls les tribunaux de l’arrondissement judiciaire de Brabant wallon seront compétents.
